These terms apply to all users of Aurifisc, including registered financial advisors and any individuals accessing the Service on behalf of a registered financial advisory firm.

Aurifisc is an AI-powered portfolio recommendation and practice management tool designed exclusively for use by licensed financial advisors. The Service provides:

• AI-generated portfolio allocation recommendations for client profiles
• Instrument selection from a curated approved universe
• AI-generated suitability assessment documentation
• Client profile management and meeting notes
• PDF report generation for advisor use

Aurifisc is available only to:

• Registered Investment Advisors (RIAs) registered with the SEC or applicable state securities regulators
• FINRA-registered broker-dealer representatives
• Licensed financial professionals operating under applicable regulatory frameworks

By creating an account, you represent and warrant that you meet the eligibility requirements above and that your use of Aurifisc complies with all applicable laws and regulations, including FINRA Rule 2111 (Suitability) and SEC Regulation Best Interest.

Aurifisc is a decision support tool only. Aurifisc does not provide financial advice. All portfolio recommendations, instrument suggestions, and suitability notes generated by Aurifisc are intended solely as starting points for advisor review.

The licensed financial advisor using Aurifisc is solely responsible for:

• Reviewing all AI-generated recommendations before presenting to clients
• Determining the suitability of any recommendation for a specific client
• Complying with all applicable fiduciary and suitability obligations
• Making the final investment decision for each client
• Maintaining appropriate regulatory compliance documentation

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify Aurifisc immediately of any unauthorized use of your account. Aurifisc is not liable for any loss resulting from unauthorized use of your account.

You may not share your account with other individuals or use your account to access Aurifisc on behalf of a third party without prior written authorization.

Client data you enter into Aurifisc is used solely to generate portfolio recommendations and documentation within the Service. Aurifisc does not sell client data to third parties. Please review our Privacy Policy for full details on how data is collected, used, and protected.

You agree not to use Aurifisc to:

• Generate recommendations for clients without appropriate licensing
• Circumvent regulatory requirements or fiduciary obligations
• Reverse engineer, copy, or redistribute any part of the Service
• Upload false, misleading, or fraudulent client information
• Use the Service for any unlawful purpose

Aurifisc and all associated content, features, and functionality are owned by Aurifisc and protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Service without prior written consent.

To the maximum extent permitted by law, Aurifisc shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service or any recommendations generated by the Service.

Aurifisc's total liability for any claim arising from use of the Service shall not exceed the amount you paid for the Service in the three months preceding the claim.

Aurifisc is not responsible for investment losses resulting from recommendations generated by the Service. The licensed financial advisor assumes full responsibility for all client investment decisions made using or influenced by the Service.

Aurifisc reserves the right to modify these Terms of Service at any time. We will notify registered users of material changes via email. Continued use of the Service after notification constitutes acceptance of the updated terms.

These Terms of Service are governed by the laws of the State of California, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of San Francisco County, California.

Aurifisc may terminate or suspend your account at any time for violation of these Terms. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.
